The Dance Like Varsity Fanclub Contest (the “Contest”) starts on October 23, 2008 at 10:00 am Pacific Daylight Time, which is 5:00 pm Greenwich Mean Time, and ends on January 5, 2009 at 1:00 am Pacific Standard Time, which is 9:00 am Greenwich Mean Time (“Submission Period”), or whenever Sponsor receives 512 eligible entries, whichever is sooner.


ELIGIBILITY: Contest is open to legal residents of the fifty (50) United States and District of Columbia, who are 14 years of age or older. Employees of DanceJam, Inc. (the “Sponsor”), Capitol Music Group, and their respective parents, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to win. An eligible minor should have his/her parent’s or legal guardian’s permission to enter. Contest is subject to all applicable federal, provincial, state and local laws.


HOW TO ENTER: During the Submission Period, produce a video forty seconds (:40) to sixty seconds (:60) in length of your own SOLO dance performance of Varsity Fanclub’s “Future Love” dance. To enter the Contest, visit www.dancejam.com (“Site”) and follow the directions provided on the Contest page; then, upload your video to the Contest during the Submission Period (“Entry”). Incomplete entries will be invalid.


The maximum number of eligible Entries in the “quarter-finals” cannot exceed 512, the equivalent of sixty-four (64) tournament brackets. If Sponsor receives 512 eligible Entries prior to the deadline stated above, the Submission Period will end and no more Entries will be accepted for this Contest. At the end of the Submission Period all Entries adhering to the guidelines will be randomly assigned to no more than sixty-four (64) tournament brackets and multiple voting periods (quarter-finals, semi-finals, finals) will commence in a consecutive fashion. The number of brackets in the “quarter-finals” will depend upon the total number of eligible Entries received. In instances where the total number of eligible entries is not a multiple of eight, tournament brackets may contain 7 Entries, with one person automatically advancing to the second round within the quarter- or semi-final voting period. Each voting period will consist of three voting rounds, after which, the winning Entries will advance to the subsequent round or voting period. At the beginning of each voting period, the tournament brackets will be randomly populated with the eligible Entries or advancing winners from the previous voting period.


Entrant must be a member of DanceJam to enter this Contest. If entrant is not a member of DanceJam, he/she will be required to register in order to submit an Entry. To become a member of DanceJam, visit www.dancejam.com and follow the directions provided to register. Registration to the site is free. Video must be submitted in mov, avi, mpeg, mpg, mp4, 3gp, wmv, flv, divx, or m4v format and cannot exceed 100 MB in size. All Entries must be received by January 5, 2008 at 1:00 am Pacific Standard Time, which is 9:00 am Greenwich Mean Time, to be considered. Limit one (1) Entry per person and per email address and per household. Entries received from any person or email address or household in excess of the limitation will be void. All Entries become the duly licensed right for use by the Sponsor and will not be returned.


When registering, entrant must provide accurate and complete information so that our winner notification or other notifications can be duly delivered. Entrant is solely responsible for the accuracy of such information, and entrant must keep his/her account password secure. As soon as entrant is aware of an unauthorized change of the information, entrant must notify Sponsor immediately; otherwise, Sponsor will not be liable for any failure for delivery of related notice or award due to entrant’s failure to give such notice.


REQUIREMENTS OF ENTRIES: Entry may not contain, as determined by the Sponsor, in its sole discretion, any content that:
• is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
• promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
• is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Entries;
• defames, misrepresents or contains disparaging remarks about other people or companies;
• contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
• contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in Sites, television, movies or other media), without permission;
• contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
• contains look-alikes of celebrities or other public or private figures, living or dead;
• communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or
• appears to violate or encourages the violation of any law.


Entry must be the original work of the entrant, must not contain third parties, must not have been previously published, must not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity, moral rights, rights in performances, or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the entrant, and/or which are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any entrant at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry, entrant (and, if an eligible minor, entrant’s parent or legal guardian) warrants and represents that he/she consents to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein. Entrant shall be solely responsible for the Entry and the consequences of uploading, posting or publishing it.


By submitting an Entry, entrant (and, if an eligible minor, entrant’s parent or legal guardian) agree that Entry conforms to these Official Rules, the Site’s Terms of Service, and that Sponsor, in its sole discretion, may disqualify Entry if it determines, in its sole discretion, that Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion or for any other reason.


By submitting an Entry, entrant (and, if an eligible minor, entrant’s parent or legal guardian) hereby grants permission for the Entry to be posted on www.dancejam.com or other sites authorized by Sponsor. Entrant (and, if an eligible minor, entrant’s parent or legal guardian) agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting of any Entry. Entrants (and, if eligible minors, entrant’s parents or legal guardian) agree that they will not use the Entry for any other purpose until following the conclusion of the final voting period, including, without limitation, posting the Entry to any online social networks, without the express consent of Sponsor in each instance.


Voting: The tournament will be hosted on DanceJam. Votes will be placed by visitors to, and members of, the Site. Sponsor will post the deadline by when votes must be received for any round. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, and otherwise, as determined by Sponsor in its sole discretion.


The number of tournament brackets in the “quarter-final” voting period will vary depending on the number of eligible Entries submitted. At the end of the Submission Period, the first 512 eligible Entries received will be randomly assigned to no more than sixty-four (64) tournament brackets and a 9-day “quarter-final” voting period will commence, allowing for three (3) days of voting per round. In the event that 64 or fewer submissions are received, the competition will commence with the “semi-final” voting period. The bracket structure is such that eligible Entries will be “paired up” in head-to-head competition. The Entry of each pair that receives the greatest number of votes, as determined by Sponsor in its sole discretion, will advance to the next round, ultimately resulting in one final winner per tournament bracket. At the end of the “quarter-final” voting period, sixty-four (64) winning videos, including each first-place winner from the “quarter-finals” will advance to the “semi-finals”, which will consist of eight (8) randomly-populated tournament brackets, and a 9-day “semi-final” voting period will commence, allowing for three (3) days of voting per round. In the event that the “quarter-finals” consists of fewer than 64 brackets, the remaining entrants advancing to the “semi-finals” will be chosen based on their relative success in the “quarter-finals”. At the end of the “semi-final” voting period, eight (8) winning videos, one from each of the “semi-final” tournament brackets, will advance to the “finals”, which will consist of one randomly-populated tournament bracket, and a 9-day “final” voting period will commence, allowing for three (3) days of voting per round. The tournament structure and rules governing the voting process and winner selection will be consistent throughout each voting period.


Subject to verification of eligibility and compliance with these Official Rules, the Entry that receives the highest number of valid votes, as determined by Sponsor, in the final round of the “final” voting period will be deemed the potential winner. In the event of a tie in any match-up, the Entry that received the highest number of valid votes first, as determined by Sponsor in its sole discretion, will be deemed the potential winner of such match-up. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void.


WINNER NOTIFICATION: Sponsor’s decisions are final and binding on all matters relating to this Contest and no correspondence will be entered into with entrants. The potential winner will be notified according to his/her registration information by telephone, mail and/or email within 2 days of the end of the "final" voting period and may be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within seven (7) days of date appearing on prize notification. The prize will be delivered within six weeks of the end of the "final" voting period. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact potential winner within a reasonable time period, or noncompliance with these Official Rules by potential winner will result in disqualification and, at Sponsor’s sole discretion, the prize may be awarded to the runner-up. If potential winner is a minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize to his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winners set forth herein.


PRIZE: The prize package will include a Nintendo Wii Gaming Console to the tournament winner, and Dance Dance Revolution games to the runners-up. The number of runners-up will be determined by Capitol Music Group and will depend upon the number of submissions received. Except where such exclusions are unenforceable under applicable laws, the prize is awarded “as is”. All warranties, descriptions, representations and conditions, whether implied by law or otherwise, are expressly excluded to the fullest extent permitted by law. Winner may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize with one of comparable or greater value. Winner is responsible for all applicable federal, state and local taxes (including any income and withholding taxes), if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion.


GENERAL CONDITIONS: By participating, each entrant (and, if an eligible minor, his/her parent or legal guardian) accepts these terms and conditions and agrees: (a) to abide by these Official Rules, the Site’s Terms of Service and the decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to the extent that any personal injury or death is caused by the Released Parties' negligence, to indemnify, release, discharge and not hold Sponsor, Capitol Music Group, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) responsible for any and all injuries, liability, losses and damages of any kind resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize that are caused by matters outside Sponsor's reasonable control; and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in connection with the Contest and Entry in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its respective designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, each entrant (and, if an eligible minor, his/her parent or legal guardian) also agrees not to release any publicity or other materials on his/her own or through someone else regarding their participation in the Contest without the prior consent of the Sponsor, which it may withhold in its sole discretion. Each Entrant, and if the Entrant is under 18 years of age, their parent or guardian, acknowledges and agrees that it is a condition of entry into the Contest that the Entrant is capable of agreement to these Official Rules and giving the consents contained herein.


OWNERSHIP/USE OF ENTRIES: Entrants retain all ownership rights to his/her Entry. However, by submitting an Entry, each entrant (and, if an eligible minor, his/her parent or legal guardian) hereby waives all moral rights that might otherwise be exercisable in respect of the Entry and grants Sponsor a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Entry in connection with the Site and Sponsor’s (and its respective successors’) business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels. Each entrant (and, if an eligible minor, his/her parent or legal guardian) also hereby grants each user of the Site a non-exclusive license to access his/her Entry through the Site, and to use, reproduce, distribute, prepare derivative works of, display and perform such Entry as permitted through the functionality of the Site and under the Site’s Terms of Service. Entrants agree not to post the Entry or a video substantially similar to the Entry on any sites other than the Site during the Contest Period and Voting Period. Furthermore, any subsequent license by entrant of the video embodied in the Entry shall be subject to the rights granted to Sponsor hereunder.


PERSONAL INFORMATION: Entrant (and, if an eligible minor, his/her parent or legal guardian) acknowledges that the Sponsor and the Released Parties may use and disclose (including related companies, contractors, agents, affiliates and other third parties) the information provided by Entrants for purposes connected with this Contest, including but not limited to, for administration, professional advice, and marketing purposes. If the Entrant (and, if an eligible minor, his/her parent or legal guardian) would like to access or correct the personal information that the Sponsor and the Released Parties hold about them, or the Entrant does not wish the information to be disclosed, the Entrant should advise the Sponsor by e-mail at contact@dancejam.com and reference their specific user profile or the contest entry in question.


PARENTS AND GUARDIANS: The parent or guardian of an Entrant under the age of 18: (a) will ensure that the Entrant in respect of whom they agree to these Official Rules will comply with these Official Rules; and (b) warrants that the Entrant in respect of whom they agree to these Terms, is capable of agreeing these Terms and giving the consents contained herein. The parent or guardian of each Entrant, agrees to indemnify the Sponsor and the Released Parties for and against: (a) any claims made by the Entrant, his or her guardian, or any member of his or her family against the Sponsor and the Released Parties in connection with the Contest; and (b) any losses (including any liability) caused by any conduct of the Entrant which is inconsistent with these Terms.


MISCELLANEOUS: In the event of any dispute between these Official Rules and the Site’s Terms of Service, these Official Rules shall prevail. Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries or votes; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), Site, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of Entries, the tabulation of votes, the announcement of the prize, the incorrect uploading of the video, or in any Contest-related materials caused by matters outside Sponsor’s reasonable control. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest caused by matters outside Sponsor’s reasonable control. Released Parties are not responsible for injury or damage to any person's computer, related to or resulting from participating in this Contest or downloading materials from or use of the Site caused by matters outside Sponsor’s reasonable control. Persons who tamper with or abuse any aspect of the Contest or Site, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries and/or votes will be void. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify, or terminate the Contest and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. Contest is governed by the laws of the State of California, without regard to its conflict of laws principles, with venue in San Francisco County and all claims must be resolved in the courts of San Francisco County.
